Recommended WWF Constitution/Bylaws Amendments - 2008

The following amendments have been recommended by the Board of Directors and will be voted upon by membership at  WWF’s Annual Membership Meeting April 19, 2008 (proposed deletions are in strikethrough, additions are bold, capitalized, and underlined).

Amendment #1.

WWF Constitution, Article V1 – Meetings.

Section 2.

Special meetings of the membership and/or the Board of Directors may be called by the President at the request of a majority of the Board of Directors. In the absence of the President, special meetings may be called by the Vice President, acting in the President’s behalf. SUCH SPECIAL MEETINGS MAY BE HELD BY MEANS OF CONFERENCE TELEPHONE (TELECONFERENCE) CALLS OR OTHER ELECTRONIC MEANS.

Amendment #2.

WWF Bylaws, Article II – Board of Directors

Chapter I – Number and Term, Elections, Officers

Section 1 – Number and Term

Subsection B – Affiliate Club Directors.

Each affiliate club of the Federation in good standing, in accordance with the Federation’s Standards for Affiliation shall MAY be represented by one (1) director. The term of the club director shall be one year and the club director shall be so designated by the club at least thirty (30) days prior to the Federation’s annual meeting.

WWF Bylaws, Article II – Board of Directors

Chapter I – Number and Term, Elections, Officers

Section 2 – Elections

Elections of associate directors of the Board shall be by secret mailed ballot provided to the organization’s associate members in good standing sixty (60) THIRTY (30) days prior to the annual meeting.

Amendment # 4.

WWF Bylaws, Article II – Board of Directors

Chapter 4 – Dismissal/Resignation – Officers/Directors/Affiliates/Members

Section 4

The Board is required to address the status of continuation of a AN ASSOCIATE Board member who misses or absents himself/herself from three (3) duly called meetings of the Board during any one (1) year.
